§ 1 Scope, contracting parties, business-customer status
(1) These Terms and Conditions apply to all contracts for the provision of the software "Versino AI SAP B1 MCP" (hereinafter "MCP" or "software"), including the associated licences and any optional services rendered in connection therewith, concluded between Versino and the customer via the licence shop at https://aishop.versino.de or by other means.
(2) The offer is directed exclusively at business customers within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. By concluding the contract, the customer confirms to be acting in the exercise of their commercial or independent professional activity. There is no consumer right of withdrawal.
(3) These Terms and Conditions apply exclusively. Deviating, conflicting or supplementary terms of the customer do not become part of the contract unless Versino expressly agrees to their application in text form. This also applies where Versino renders the service without reservation in the knowledge of conflicting terms of the customer.
(4) These Terms and Conditions, in the version valid at the time the contract is concluded, also apply to future contracts of the same kind without Versino having to refer to them again.
§ 2 Definitions
For the purposes of these Terms and Conditions:
MCP server / software: the self-hosted server program "Versino AI SAP B1 MCP" provided by Versino, which provides Model Context Protocol (MCP) access to SAP Business One via its Service Layer (REST/OData).
Edition: the purchased functional tier of the software (BASIC, PRO or ENTERPRISE), which determines the enabled feature set and usage limits (cf. § 3).
Licence file / versino.key: the signed licence file, verifiable offline, stating edition, seat count and term.
Seat: a distinct SAP Business One user connecting through the MCP server. Reconnection of the same user does not consume an additional seat; disconnecting releases the seat. Multiple installations of the same customer share the seat count stated in the licence.
Service Layer: the REST/OData interface of SAP Business One through which the MCP server reads and writes.
LLM client / AI client: the MCP-capable third-party application chosen by the customer (e.g. Claude Desktop, Microsoft Copilot, Cline, Continue, among others) together with the underlying language model (e.g. Anthropic, OpenAI, Microsoft, Google).
Phone-home: the online licence check of the MCP server against Versino's licence server, restricted exclusively to metadata (cf. § 7).
Licence portal: the customer area at https://aishop.versino.de/account for managing licence and key; Manage subscription links to the Stripe customer portal.
§ 3 Subject matter of the contract and service description
(1) Versino provides the customer with the software for installation and operation in the customer's own infrastructure (self-hosted) and grants the usage rights set out in § 5. The software is provided as an executable program (binary for Windows or Linux) via the download repository designated by Versino; the customer downloads it there themselves.
(2) The MCP server connects an LLM/AI client chosen by the customer to SAP Business One. Every user signs in with their own SAP credentials; the software adds no permission layer of its own. The rights stored for the signed-in user in the respective SAP Business One system are always decisive (1:1 enforcement by SAP). The edition merely controls which tools are enabled; what the user may actually do is decided by SAP Business One.
(3) The feature set depends on the purchased edition. The service description valid at the time in the shop at https://aishop.versino.de is decisive; in case of dispute it takes precedence over summary presentations. In overview:

(4) Write tools only take effect if the server is operated in READ_WRITE mode and the signed-in SAP user holds the corresponding permission. Operation in READ_ONLY mode and all SAP-side permissions are the customer's responsibility.
(5) A particular technical design, a particular level of performance or suitability for a purpose beyond the service description is owed only where expressly agreed in text form. The software is provided in its respective delivered version.
§ 4 Conclusion of contract
(1) The presentation of the editions in the shop does not constitute a binding offer, but an invitation to the customer to submit an offer.
(2) By submitting the order in the shop (selection of edition, term model and seat count, entry of company and billing data, and confirmation of business-customer status and these Terms and Conditions), the customer submits a binding offer. The contract is concluded upon confirmation by Versino, at the latest upon provision of the licence file versino.key.
(3) Payment is processed via the payment service provider Stripe. The customer receives the licence key after successful payment by e-mail and via the licence portal.
(4) The customer agrees that Versino begins providing the software and/or the licence file immediately after conclusion of the contract.
§ 5 Usage rights (licence)
(1) Versino grants the customer a simple (non-exclusive), non-transferable and non-sublicensable right to use the software during the contract term to the agreed extent (edition and seat count) for the customer's own internal business purposes. With an ongoing subscription, the usage right is limited to the duration of the subscription.
(2) The customer may operate the software on as many installations as required for their internal operations, provided the seat count stated in the licence is not exceeded overall.
(3) The customer is not permitted to make the software or the licence file available to third parties, to rent or lease it, or to offer it by way of application service providing or as a service for third parties, unless expressly agreed otherwise in text form.
(4) The customer may not reverse engineer, decompile or disassemble the software except to the extent permitted by mandatory statutory provisions (in particular Section 69e of the German Copyright Act, UrhG). Copyright notices, trademarks and other proprietary notices may not be removed or altered. Technical protection and licence-verification mechanisms (in particular the signature check of the versino.key) may not be circumvented.
(5) All rights in the software, including all copyrights, trademarks and other proprietary rights, remain with Versino or its licensors. The customer acquires exclusively the usage rights granted in these Terms and Conditions.
(6) Exceeding the licensed scope of use (in particular the edition or the seat count) entitles Versino to require additional licensing for the actual scope of use. Further statutory claims remain unaffected.
§ 6 Licence key, seats, edition changes
(1) The licence file versino.key is a signed offline licence. It is placed next to the binary and detected automatically. Without a valid licence, the server does not start. The customer must protect the licence file against unauthorised access.
(2) A seat corresponds to a distinct SAP user (§ 2). The customer performs edition up-/downgrades and seat-count changes via the Stripe customer portal ("Manage subscription"); they take effect on the licence automatically, which is re-signed for this purpose.
(3) With an ongoing subscription, the licence renews automatically. If phone-home (§ 7) is active, the installation adopts the renewed key by itself; otherwise Versino provides the customer with a new versino.key in good time.
§ 7 Licence verification and phone-home
(1) The licence check is performed offline based on the cryptographic signature of the licence file. The MCP server also runs without an internet connection (air-gapped); the delivered key is valid until its expiry date.
(2) Phone-home is active by default. The MCP server transmits exclusively metadata to Versino's licence server at regular intervals, namely: customer number (customer_id), edition, program version, seat count and — where registered — an installation identifier plus signature for authentication. Business data from SAP Business One, credentials or personal data of end users are not transmitted. On request, the customer may have phone-home disabled; Versino then provides a key without the registration claim, for which silent renewal does not apply.
(3) Phone-home serves to detect over-use, to exchange keys automatically (silent renewal) and to revoke licences. Network or reachability problems never cause a blockage; only an explicit invalidity notice from the reachable licence server (revocation, e.g. in the event of payment default or termination) prevents future new connections.
§ 8 System requirements and customer's duties to cooperate
(1) Operating the software requires: a 64-bit operating system (Windows 10/11 / Server 2019+ or 64-bit Linux/glibc, x86-64), network access to the SAP Business One Service Layer (https://<host>:50000/b1s/v2/), a valid licence file and — for stdio-only clients — Node.js for the mcp-remote bridge. The current specifications in the product documentation are decisive.
(2) The customer is solely responsible for providing, configuring, securing and continuously operating the required infrastructure, in particular for installing the MCP server, an upstream reverse proxy with TLS for network operation, choosing the operating mode (READ_ONLY/READ_WRITE), safekeeping the credentials and the licence file, and regular data backups.
(3) The customer ensures that they hold a valid, sufficient SAP Business One licence and the permissions required to access the Service Layer. SAP licensing is not part of this contract.
(4) The customer is responsible for selecting, connecting, configuring and operating the LLM/AI client they use and the underlying language model (cf. § 9).
(5) The customer renders required acts of cooperation in good time and free of charge. Versino is not responsible for delays resulting from omitted or late cooperation.
§ 9 Third-party services — AI clients, language models and SAP
(1) The MCP server provides an interface; it does not include the LLM/AI client, the language model or SAP Business One. These are third-party services and not part of this contract.
(2) The customer decides on their own responsibility which AI client and which language model to use. To the extent that the AI client transmits data from SAP Business One to a provider of a language model (e.g. Anthropic, OpenAI, Microsoft, Google), this occurs under the customer's sole responsibility. The customer is obliged to establish the necessary data-protection and contractual bases with the respective provider themselves. Versino has no influence on processing by these providers and accepts no liability for it.
(3) Versino is liable only for the careful provision of the interface, not for the availability, performance, correctness, security or operating behaviour of the third-party components used by the customer (AI client, language model, SAP Business One, operating system, network).
(4) Note on AI results: Output generated by language models can be erroneous, incomplete or misleading. When using write-capable editions (PRO, ENTERPRISE), tools triggered by the AI client can create, modify, delete data in SAP Business One or trigger document actions. The customer is obliged to review AI-supported results, and in particular write operations, before productive use and to safeguard them through suitable organisational measures (e.g. operation in READ_ONLY mode, restrictive SAP permissions).
§ 10 Optional paid services
(1) Upon separate engagement, Versino renders paid services, in particular installation and commissioning of the MCP server, configuration, consulting and product-related third-level support (3rd level) for the software.
(2) Handling end-user enquiries and first- and second-level support are the responsibility of the customer or the SAP Business One partner engaged by the customer. Versino acts within third-level support to the extent an enquiry concerns the software itself and cannot be resolved by first/second level.
(3) Unless a fixed price is expressly agreed, services are billed according to actual effort at Versino's applicable rates. A working day corresponds to 8 hours or 480 minutes.
(4) Travel time and travel expenses are billed separately: travel time at €80 per hour; car travel at €0.50/km plus parking and road-usage fees; per-diem expenses in accordance with the applicable statutory flat rates; costs of other means of transport and hotel costs according to actual expense. Flights are booked directly by the customer at the customer's expense. All prices are exclusive of statutory VAT.
(5) Where separate agreements or statements of work are concluded for individual services, their provisions take precedence over these Terms and Conditions in the individual case.
§ 11 Prices and payment
(1) The prices shown in the shop at the time of the order apply. Licence fees are charged per seat and month (BASIC €5, PRO €20, ENTERPRISE €50 per user and month). All prices are exclusive of statutory VAT and other charges.
(2) The customer chooses between monthly billing and an annual contract. With the annual contract, the annual amount is billed once in advance; a discount of 3% is granted and the key is valid for 12 months.
(3) Licence fees are due for payment in advance. Payment is made via Stripe using the payment methods offered there. The customer provides the VAT ID and billing address at checkout.
(4) If the customer is in default of payment, Versino is entitled, after unsuccessful expiry of a reasonable deadline, to revoke the licence (cf. § 7 (3)) and/or to terminate the contract for good cause (§ 12). The statutory default provisions, in particular Section 288 BGB, remain unaffected.
(5) Versino is entitled to make price changes and to pass on increases made by upstream suppliers or payment service providers. In continuing obligations, price changes are communicated to the customer in text form and apply to the following billing period; they take effect no earlier than 6 weeks after notification. In the event of an increase, the customer has a special right of termination effective as of the change taking effect.
(6) The customer may only set off claims that are undisputed or established with legal finality. The customer may only assert a right of retention based on claims arising from the same contractual relationship.
§ 12 Term and termination
(1) The contract commences upon provision of the licence file.
(2) With monthly billing, the contract is terminable monthly; without termination it renews by one further month at a time. With the annual contract, the term is 12 months; without timely termination it renews by further periods of 12 months.
(3) The customer performs terminations, up-/downgrades and seat changes via the Stripe customer portal ("Manage subscription").
(4) The right to extraordinary termination for good cause remains unaffected. Good cause exists for Versino in particular if the customer is in default of payment for more than one month, violates the usage rights under § 5, or circumvents protection or licence-verification mechanisms.
(5) Upon termination of the contract, the usage rights expire. The customer must cease operating the software and delete all copies of the software and the licence file. The business data stored in the customer's SAP Business One system are not affected; they remain with the customer.
(6) Any termination requires at least text form.
(7) Special right of termination upon loss of necessary third-party systems. Versino is entitled to extraordinary termination if rendering the contractual services becomes permanently, or for an unreasonably long period, impossible or economically unreasonable because a manufacturer or provider of third-party systems or interfaces necessary for operating the MCP (in particular SAP Business One/Service Layer, providers of language models or AI clients, or the payment and licensing infrastructure) blocks, discontinues or changes access in a manner not attributable to Versino and which Versino cannot remedy with reasonable effort within a reasonable period or replace with an equivalent solution. Versino informs the customer without delay and issues the termination with reasonable notice, or without notice in the event of an immediate block. Versino refunds pro rata any remuneration paid in advance for services not yet rendered. Further claims of the customer arising from such a termination are excluded to the extent Versino is not responsible for the cause; § 15 remains unaffected.
§ 13 Provision, updates and maintenance
(1) As the software is operated self-hosted, Versino owes no availability of the server running at the customer's; operation and availability are the customer's responsibility.
(2) During the contract term, Versino provides updated program versions (updates, patches) via the download repository and renewed licence keys as part of product maintenance, but is only obliged to do so within reasonable limits and not to develop specific new features. Installing updates is the customer's responsibility.
(3) Versino may discontinue providing older program versions. The customer has no claim to the continued existence of a specific program version or feature, provided the core contractual benefit is preserved.
§ 14 Warranty / defects
(1) Versino provides the software in its respective delivered version. A defect exists only if the software deviates from the applicable service description in a manner material to the customer. An insignificant reduction in usability is disregarded.
(2) Versino does not warrant that the software runs without interruption or errors, or that it works with every hardware and software used by the customer, every AI client or every language model. No warranty is given for the substantive correctness of AI results (§ 9 (4)).
(3) In the event of a justified defect, Versino initially provides supplementary performance by delivering a corrected version, an update or a reasonable workaround. Defects must be notified in text form without undue delay after becoming known, at the latest within two weeks, with a comprehensible description.
(4) If supplementary performance fails in material respects even within a reasonable grace period set by the customer, the customer may proceed under the statutory provisions; in continuing obligations, the right to extraordinary termination replaces withdrawal and reduction. Claims for damages exist only in accordance with § 15.
(5) The limitation period for defect claims is twelve months from provision or from knowledge of the defect, unless mandatory statutory provisions (in particular in cases of intent, fraudulent concealment, injury to body/health, or under the German Product Liability Act) provide for longer periods.
§ 15 Liability
(1) Versino is liable without limitation in cases of intent and gross negligence, for injury to life, body or health, for fraudulently concealed defects, within the scope of an assumed guarantee, and under the German Product Liability Act.
(2) In the event of slightly negligent breach of a material contractual obligation (cardinal obligation, i.e. an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely), liability is limited to the typical, foreseeable damage.
(3) In all other respects, Versino's liability — on whatever legal grounds — is excluded. In particular, in cases of slight negligence Versino is not liable for lost profits, unrealised savings, indirect damage or consequential damage.
(4) To the extent liability exists on the merits under paragraph 2, it is limited in amount to 100% of the remuneration the customer paid for the licence in the twelve (12) months preceding the damaging event. This cap applies in total to all damage events occurring within one contract year; several damage events based on the same or a similar cause are deemed one damage event.
(5) For loss of data, Versino is liable only to the extent that would have been required for restoration had the customer performed proper, regular data backups. The customer is responsible for regular data backups (§ 16).
(6) Versino is not liable for damage outside its sphere of responsibility. This includes in particular damage resulting from (a) the operation, configuration or failure of third-party components (AI client, language model and its provider, SAP Business One, operating system, infrastructure, network), (b) the transmission of data to providers of language models (§ 9), (c) erroneous, incomplete or misleading AI results that the customer did not review before use, and (d) write operations or document actions initiated by the AI client (creating, modifying, deleting, cancelling, among others) that the customer could have prevented by operating in READ_ONLY mode or through correspondingly restrictive SAP permissions. The MCP server exclusively passes through the SAP permissions of the signed-in user; enabling write mode (READ_WRITE) is the customer's own risk decision.
(7) Contributory negligence of the customer is taken into account pursuant to Section 254 BGB. The customer is in particular obliged to review AI-supported results before productive use, to choose the operating mode (READ_ONLY/READ_WRITE) and the SAP permissions appropriately to the risk, and to perform regular data backups. If the customer breaches these obligations, Versino's liability lapses or is reduced accordingly.
(8) The above limitations of liability also apply in favour of the legal representatives, employees and vicarious agents of Versino as well as subcontractors engaged by Versino.
§ 16 Data backup and data
(1) The customer is responsible for regular backups of their data and systems appropriate to the risk.
(2) The business data processed in the SAP Business One system and any local log/audit data remain in the customer's infrastructure; Versino has no access to them. The customer alone is responsible for the content, lawfulness and quality of the data processed by the customer.
§ 17 Data protection
(1) As the software is operated exclusively self-hosted in the customer's infrastructure and business data from SAP Business One do not leave the customer's premises via Versino, Versino does not process personal data of end users or business data of the customer on the customer's behalf; a data processing agreement (Art. 28 GDPR) is regularly not required for this.
(2) Versino processes, as an independent controller, only the data required for contract performance and licence management (in particular company and contact data, business e-mail address, VAT ID, billing data and the licence metadata mentioned in § 7). Payment is processed via Stripe as an independent controller or payment service provider. Details are governed by the privacy policy at https://versino.de/datenschutz/.
(3) The customer, as controller, is responsible for the data-protection assessment of their specific use — in particular for processing in the SAP Business One system and for the transmission of data to the AI client used and its language-model provider (§ 9 (2)).
(4) If, within optional services (§ 10), Versino exceptionally accesses personal data of the customer (e.g. during remote maintenance), the parties conclude a separate data processing agreement where required.
§ 18 Confidentiality
(1) The parties treat confidential information of the respective other party that becomes known to them in the course of contract initiation and performance as confidential and use it only for contractual purposes. This applies in particular to the software, licence keys, technical documentation and commercial terms.
(2) Excluded is information that is publicly known, was already lawfully known to the recipient, was lawfully obtained from third parties, or must be disclosed by law or by official or court order. The obligation continues for the duration of the contract and for three years thereafter.
§ 19 Force majeure
(1) Events of force majeure release the affected party from its obligation to perform for the duration and to the extent of their effects. Force majeure includes in particular natural events, fire, floods, epidemics, pandemics, war, acts of terrorism, official measures, energy or network failures, cyberattacks, and failures of cloud, data-centre or payment service providers.
(2) The affected party informs the other party without delay. If the impairment lasts longer than 30 calendar days, both parties are entitled to extraordinary termination.
§ 20 Third-party rights
SAP Business One and other SAP products mentioned, together with the associated logos, are trademarks or registered trademarks of SAP SE in Germany and other countries. Names of other products and services are trademarks of their respective owners. No entitlement of the customer to use them can be derived from their mention.
§ 21 Changes to these Terms and Conditions
(1) Versino is entitled to change these Terms and Conditions with effect for the future to the extent necessary to adapt to changed legal or technical conditions and provided the customer is not unreasonably disadvantaged thereby.
(2) Changes are communicated to the customer in text form. They are deemed approved if the customer does not object in text form within six weeks of receipt; Versino points this out separately in the notification. If the customer objects, Versino is entitled to terminate the contract ordinarily effective as of the change taking effect.
§ 22 Final provisions
(1) The law of the Federal Republic of Germany applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is — to the extent legally permissible — Versino's registered office. Versino is also entitled to sue at the customer's general place of jurisdiction.
(3) The transfer of the customer's rights and obligations under this contract to third parties requires Versino's prior consent in text form.
(4) Amendments and additions to this contract require text form. This also applies to the waiver of the text-form requirement. Individual agreements in specific cases (Section 305b BGB) take precedence.
(5) Should individual provisions of these Terms and Conditions be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions remains unaffected. The statutory provision takes the place of the invalid provision.
Versino AG — as of September 2026, version 1.1. The version published in the shop at the relevant time, together with the service description there, is decisive. The German version of these Terms and Conditions is legally binding.
